These Terms are informational and do not constitute legal advice. Specific terms contained in a signed Insertion Order ("IO"), Buyer Agreement, Publisher Agreement, or other written agreement with QuoteBoard control where they conflict with these Terms.
ELIGIBILITY
You must be at least 18 years old and legally capable of entering into a binding agreement to use our services.
SERVICES
QuoteBoard operates a performance marketing network that delivers inbound pay-per-call traffic and related lead-generation services to contracted buyers.
Specific call volumes, pricing, billing terms, geographic targeting, qualification requirements, replacement standards, exclusivity, and other commercial terms are governed by the applicable IO, Buyer Agreement, Publisher Agreement, or other written agreement between the parties.
ACCEPTABLE USE
You agree not to:
Use our website or services for any unlawful, deceptive, fraudulent, or misleading purpose.
Scrape, copy, reverse engineer, or interfere with our website, systems, or services.
Transmit malware, malicious code, automated traffic, or fraudulent traffic.
Attempt to circumvent our fraud detection, tracking, billing, routing, or compliance systems.
Use our services in violation of applicable laws, regulations, or third-party rights.
BUYER OBLIGATIONS
Buyers agree to:
Use delivered calls and leads only for the products, services, and purposes described in their applicable agreement with QuoteBoard.
Comply with all applicable federal, state, and local laws and regulations governing their communications with consumers.
Honor applicable consumer Do Not Call requests and opt-out requests.
Maintain all licenses, registrations, and approvals required for the products or services they market to consumers.
Promptly notify QuoteBoard of any suspected fraudulent, invalid, or non-compliant traffic.
PUBLISHER OBLIGATIONS
Publishers and traffic partners agree to:
Generate traffic only through approved sources, methods, creatives, and disclosures.
Obtain and maintain all required consumer consents and authorizations.
Comply with applicable TCPA requirements, privacy laws, advertising rules, and platform policies.
Not generate fraudulent, incentivized, misleading, duplicated, or otherwise non-compliant calls.
Provide accurate traffic-source and consent information when requested by QuoteBoard.
Comply with QuoteBoard's applicable compliance requirements and policies.
FEES AND PAYMENT
Fees, pricing, billing schedules, call requirements, credits, refunds, and payment terms are established in the applicable IO, Buyer Agreement, Publisher Agreement, or other written agreement.
Unless otherwise agreed in writing, amounts owed to QuoteBoard are due according to the applicable billing terms. Past-due amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law.
INTELLECTUAL PROPERTY
The QuoteBoard website, platform, content, branding, logos, trademarks, software, and other materials are owned by QuoteBoard LLC or its licensors and are protected by applicable intellectual-property laws.
Except as expressly authorized in writing, you may not copy, reproduce, modify, distribute, sell, or exploit any QuoteBoard intellectual property.
DISCLAIMERS
The website and services are provided "as is" and "as available" to the maximum extent permitted by law.
QuoteBoard disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, and uninterrupted or error-free operation.
Any traffic volumes, performance metrics, estimates, examples, or other information presented by QuoteBoard are illustrative and do not constitute a guarantee of future performance, revenue, conversion rates, or call volume.
LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, QuoteBoard LLC and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, business opportunities, or data arising from or related to the website or services.
To the maximum extent permitted by law, QuoteBoard's aggregate liability arising out of or relating to the services will not exceed the amount paid by you to QuoteBoard during the 90 days preceding the event giving rise to the claim.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless QuoteBoard LLC and its affiliates, officers, employees, contractors, and service providers from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:
Your breach of these Terms or any applicable agreement.
Your use of the website or services.
Your products, services, advertisements, or communications with consumers.
Your violation of applicable laws, regulations, or third-party rights.
Traffic or leads generated through channels or methods that were not authorized by QuoteBoard.
TERMINATION
QuoteBoard may suspend or terminate your access to the website or services for breach of these Terms, suspected fraud, non-payment, compliance concerns, unlawful activity, or as otherwise permitted under your applicable agreement.
Termination does not eliminate obligations or liabilities that arose before termination. Provisions that by their nature should survive termination will remain in effect.
GOVERNING LAW AND VENUE
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles.
To the extent permitted by applicable law, any dispute arising from or relating to these Terms or the services will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the jurisdiction and venue of those courts.
CHANGES
We may update these Terms from time to time. The "Last updated" date above indicates when these Terms were most recently revised.
Your continued use of the website or services after updated Terms are posted constitutes acceptance of the revised Terms.
